RCBE

Registo Central do Beneficiário Efetivo · Central Register of Beneficial Owners

Last updated:

Portugal's central register of beneficial owners, part of EU anti-money-laundering rules. Every Lda (and almost every company) must declare who ultimately owns and controls it, update it within 30 days of any change, and confirm it by 31 December unless it was already updated that year and nothing has changed since.

The RCBE (Registo Central do Beneficiário Efetivo, Central Register of Beneficial Owners) is Portugal's register of who ultimately owns and controls each company. It exists to satisfy EU anti-money-laundering rules: the State wants a named human being behind every legal entity, not an opaque chain of holdings.

What it records

The beneficiário efetivo (beneficial owner) is the real person who owns or controls the company. For a single-owner Unipessoal Lda that is you, if you hold the quota personally and nobody else controls the company. For companies with several shareholders or a holding structure, it is whoever ultimately owns or controls the company through that structure.

Deadlines

  • Initial declaration: within 30 days of the company's registration (registo de constituição). If you incorporate through Empresa na Hora or Empresa Online, the founders can file it as part of that procedure. It is not automatic, so check whether yours is on file rather than assuming it was done.
  • Annual confirmation (confirmação anual): by 31 December each year. A company that files the IES can confirm at the same time. You are excused only if you already updated the register earlier in that same calendar year and nothing has changed since.
  • Updates: as soon as possible and never more than 30 days after any change to beneficial ownership.

The declaration is an electronic form, submitted through the RCBE website. It can be made by the company's managers (for an Lda, the gerentes), or on the company's behalf by a lawyer, solicitor (solicitador), notary or contabilista certificado. A registry office can also help you fill it in.

What happens if you don't

Two different consequences, and they are easy to mix up:

  • While the declaration is missing or out of date, the company may not, among other things, distribute profits, contract with the State, receive European or public funds, or take part in a deal transferring real estate. The non-compliance is also published on the RCBE website.
  • A fine of 1,000 to 50,000 euros applies when the company fails its duty to keep its own register of beneficial owners up to date.

Because the content is trivial for a small company, the real risk is not difficulty but forgetting: put the 31 December confirmation on a recurring reminder.

RCBE vs your tax obligations

The RCBE is about ownership disclosure, not accounting or tax. It is a separate filing from your abertura de atividade and your IRC and VAT returns, even when the same contabilista certificado handles both. Declaring the RCBE files no tax, and filing tax does not satisfy the RCBE.

Perguntas frequentes

What is the RCBE?

The RCBE (Registo Central do Beneficiário Efetivo) is Portugal's central register of beneficial owners, part of EU anti-money-laundering rules. Every Lda, almost every other company, and most other entities must declare the natural persons who ultimately own or control them. For a single-owner Unipessoal Lda that is the owner, if they hold the quota personally and nobody else controls the company.

What are the RCBE deadlines?

The initial declaration is due within 30 days of the company's registration. Founders who incorporate through Empresa na Hora or Empresa Online can file it during that procedure, but it is not automatic. After that the information is confirmed by 31 December each year (the confirmação anual), unless the company already updated it earlier that calendar year and nothing has changed since, and any change to beneficial ownership is declared within 30 days.

What happens if a company misses the RCBE?

While its declaration is missing or out of date, the company may not distribute profits, contract with the State, receive European or public funds, or take part in real-estate deals, and the non-compliance is published on the RCBE website. Separately, a company that fails its duty to keep its own register of beneficial owners up to date can be fined between 1,000 and 50,000 euros.
